Delaware Corporate Attorney

We are seeking an experienced Delaware Corporate Attorney to join our team in a fully remote capacity. This opportunity is ideal for a senior attorney with a strong client following who wants the freedom to focus on client relationships and complex corporate matters, without the constraints of billable-hour requirements. Key Responsibilities:

• Advise clients on corporate and transactional matters governed by the Delaware General Corporation Law (DGCL) and Delaware Limited Liability Company Act.
• Draft, review, and negotiate governance documents, merger and acquisition agreements, stock purchase agreements, and other corporate contracts.
• Counsel clients on entity formation, fiduciary duties, board governance, shareholder rights, and compliance issues.
• Support complex transactions including M&A, private equity, and venture capital deals.
• Advise on corporate restructurings, dissolutions, and special committee matters.
• Manage and expand existing client relationships while pursuing new business opportunities.
• Collaborate seamlessly with colleagues across practice areas and jurisdictions.

Qualifications:

• J.D. from an accredited law school.
• Active Delaware Bar membership required.
• Minimum of 8 years of corporate or transactional law experience.
• Portable book of business required.
• Experience with an AmLaw 200 firm preferred.
• Demonstrated success managing complex corporate matters and client portfolios.
• Strong communication, drafting, and negotiation skills.
• Entrepreneurial, self-directed, and business-minded approach to practice.
